Terms and Conditions
These terms and conditions (“Agreement”) govern the provision of services by Digital Planet London Ltd (“Company”) to the client (“Client”). By engaging our services, the Client agrees to be bound by the following terms and conditions:
- Scope of Services: The Company will provide the services as agreed upon in the project proposal or statement of work. Any changes or additions to the scope of services must be agreed upon in writing by both parties.
- Payment: The Client agrees to pay the Company the agreed-upon fees for the services provided. Payments shall be made according to the agreed-upon payment schedule. All fees and charges are exclusive of applicable taxes, which shall be the responsibility of the Client.
- Intellectual Property Rights: The Company retains all intellectual property rights to any pre-existing materials, software, or tools used in the provision of services. Upon full payment, the Company grants the Client a non-exclusive, non-transferable license to use the deliverables solely for the Client’s internal use.
- Confidentiality: Both parties agree to treat any confidential information received during the course of the project as confidential and to use it solely for the purpose of the project. The obligations of confidentiality shall continue even after the termination or expiration of this Agreement.
- Limitation of Liability: The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided. The liability of the Company for any claims arising from the services rendered shall not exceed the total fees paid by the Client.
- Termination: Either party may terminate this Agreement upon written notice in the event of a material breach by the other party. Termination shall not relieve the Client of the obligation to pay for services rendered up to the termination date.
- Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
- Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior oral or written agreements, understandings, or representations.
